Board Description
The Foundation Board of Directors is the governing body of the Foundation and supervises, controls and directs the business and affairs of the Foundation, actively promotes its purposes, and supervises the disbursement of its funds.
Responsibilities
- Attend all board and appropriate committee meetings and functions
- Participate in teleconference calls and email discussions as needed
- Ensure effective organizational planning
- Ensure adequate resources are allocated to support the strategic plan’s goals; manage resources effectively
- Determine, monitor, and strengthen the Foundation’s programs and services
- Enhance public image and assess performance of organization
- Provide continuity
- Govern by broad policies and objectives
- Maintain communication/responsiveness with Foundation staff and leadership
- Understand and uphold legal responsibilities of Board members, including duty of care, loyalty and obedience
- Ensure legal and ethical integrity and maintain accountability
- Nominate, recruit and orient new board members and assess board performance
- Be informed about the organization’s mission, services, policies and programs
- Review agenda and supporting materials prior to board and committee meetings
- Expect to take part in fundraising and donor stewardship
The RRF staff is responsible for the administration and project management of all initiatives and programs.
Time Commitments
Virtual
- Meetings: 1-day BOD meeting in August for 1–2 hours
- Asynchronous Work: About 2–3 hours of prep work before BOD meetings for all BOD members, except the Treasurer (about 3–5 hours of prep work)
In-Person
- Meetings: 1-day BOD meetings held in February, May/June and October/November during ACR Convergence. The day of the week may vary, but generally on Saturdays, except during ACR Convergence.
Recommended Qualifications
The Foundation Board of Directors welcomes all interested volunteers. The board mix would benefit from the following perspectives: Academic, Practice, and marketing and communications experience for Impact Advisory Chair.
Interested participants for this board should have knowledge or experience in one or more of the following areas:
- Requires strong familiarity with Foundation mission and programming and base knowledge of ACR mission, programs and services
- Commitment to advancing the mission of the Foundation
- Demonstrated leadership in service and giving
- Previous service in a leadership role, and/or on other nonprofit boards
- Current Foundation donor who recognizes the importance of demonstration of leadership through a personal financial commitment
- Familiarity with parliamentary procedure
